Publication of the Supplement to the Prospectus
Attica Bank S.A. (hereinafter “Attica Bank” or the “Issuer”) informs that as of 15.12.2021, makes available to investors the supplement (the “Supplement”), approved by the board of directors of the Hellenic Capital Market Commission (the “HCMC”) on 15.12.2021, to the prospectus dated 18.11.2021 (the “Prospectus”) concerning the public offer in Greece and the admission to trading on the Main Market of the Regulated Securities Market of the Athens Stock Exchange (the “ATHEX”) of up to 1,200,000,000 new, common, registered shares, bearing voting rights, of a nominal value of 0.20 euro each (the “New Shares”), which will be issued by Attica Bank pursuant to the share capital increase through payment in cash and offered at a of 0.20 euro each with pre-emptive rights in favour of the existing shareholders of Attica Bank with a ratio of 49.5265161872259 New Shares for each one existing share of Attica Bank (the “Share Capital Increase”).
The Supplement includes the significant new factors relating to the information included in the Prospectus which may affect the assessment of the New Shares, and which arose since the time when the Prospectus dated 18.11.2021 was approved by the board of directors of the HCMC, in accordance with article 23 of Regulation (EU) 2017/1129, delegated Regulations (EU) 2019/979 and 2019/980, and Law 4706/2020, as in force.
The Supplement forms an integral part of the Prospectus dated 18.11.2021, which comprises of separate documents, namely (a) a summary, as approved by the board of directors of the HCMC on 18.11.2021 (the “Summary”), (b) a registration document, that was approved by the board of directors of the HCMC on 04.10.2021, and supplemented by way of a supplement approved by the board of directors of the HCMC on 18.11.2021, and (c) a securities note approved by the board of directors of the HCMC on 18.11.2021, that together constitute the Prospectus, pursuant to articles 6 and 10 of Regulation (EU) 2017/1129, drafted in English and containing a translation of the Summary in Greek, in accordance with Regulation (EU) 2017/1129, delegated Regulations (EU) 2019/979 and 2019/980, articles 57-68 of Law 4706/2020, as in force and decision no.1/892/13.10.2020 of the HCMC.
Pursuant to article 23 paragraph 2a of Regulation (EU) 2017/1129, as in force, investors who have already agreed to subscribe for New Shares before the Supplement is published shall have the right, exercisable within three (3) working days after the publication of the Supplement, i.e., from 16.12.2021 until 20.12.2021, at 02:00 p.m., Athens time, to withdraw their subscription for such New Shares (the “Withdrawal Right”).
Investors may contact the Participants of the Securities Accounts or file a relevant request directly at branches of Attica Bank, during business days and hours, should they wish to exercise the Withdrawal Right. It is reminded that according to the announcement of Attica Bank dated 08.12.021, an extension has been provided to the period of exercising of pre-emptive rights which shall expire on 17.12.2021.
The revised indicative timeline for the admission of the New Shares that will result from the Share Capital Increase is as follows:
* Subject to the competent ATHEX committee meeting on that date.
** Pursuant to a decision of the Board, dated 8 December 2021, investors were granted the right of free withdrawal from subscriptions for New Ordinary Shares, exercisable already prior to the publication of the Prospectus Supplement, from 9 December 2021.
It should be noted that the abovementioned timeline depends on uncertain factors and is subject to changes. In any case, Attica Bank will inform investors with a relevant announcement.
